TERMS AND CONDITIONS
Effective Date: September 21, 2026 | Last Updated: September 21, 2026
- Agreement to These Terms
These Terms and Conditions (“Terms”) govern your access to and use of danerrasupply.com (the “Site”), operated by Danerra Supply Group LLC (“Danerra,” “we,” “us,” or “our”).
By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
These Terms govern use of the Site only. Any sourcing, procurement, supply, logistics, or project engagement between you and Danerra will be governed by a separate written quotation, agreement, purchase order, statement of work, or other signed commercial document, as applicable.
- About the Site
Danerra Supply Group LLC is a United States-based sourcing, procurement, supply coordination, and project-supply company. The Site provides information about our services, product categories, process, and industries and allows prospective clients to submit project inquiries and Requests for Quote (RFQs).
The Site is informational. It is not an online store, marketplace, or ordering platform. No purchase, transaction, or binding commercial commitment is completed solely by using or submitting a form through the Site.
- Business Use and Eligibility
The Site is intended primarily for business and professional use. By using the Site, you represent that:
- You are at least 18 years old
- You are using the Site for a lawful business, trade, professional, or project-related purpose
- If you act for a company or other organization, you are authorized to provide information on its behalf
- Information you provide is accurate and complete to the best of your knowledge
- Requests for Quote and Inquiries
Submitting an RFQ, contact form, or other inquiry through the Site does not create a contract and does not obligate either party to proceed.
- An RFQ is a request for information or a proposal; it is not an order and is not, by itself, an offer capable of acceptance
- Pricing, lead times, product specifications, availability, freight, duties, taxes, and other commercial information provided in response to an RFQ are indicative unless expressly stated to be firm in a written agreement
- Danerra may accept, decline, or request additional information regarding any inquiry
- A binding commercial relationship arises only when the parties enter into an applicable written agreement or other written commercial document accepted by both parties
Any response times stated on the Site are targets rather than guarantees and may vary with project scope, product category, supplier response, and other circumstances.
- Materials You Submit
You may submit drawings, photographs, specifications, schedules, and other project materials through the Site.
By submitting materials, you represent that:
- You own the materials or have the right to provide them to Danerra
- Providing the materials does not breach any confidentiality obligation, contract, law, or third-party right
- The materials do not knowingly contain malware or other harmful code
You retain ownership of materials you submit. You grant Danerra a limited, non-exclusive license to receive, store, reproduce, review, and share those materials with manufacturers, suppliers, logistics providers, and service providers only as reasonably necessary to evaluate, quote, coordinate, or perform your requested project services.
Danerra will treat project materials as confidential business information and will not intentionally disclose them outside the parties reasonably involved in the project, except as required by law or authorized by you. If formal confidentiality obligations are required, the parties should enter into a separate non-disclosure agreement before sensitive materials are shared.
Do not submit financial account credentials, government identification numbers, export-controlled information, security-classified materials, or other highly sensitive information through the Site unless Danerra has provided an approved secure method.
- Acceptable Use
You agree not to:
- Use the Site for unlawful, fraudulent, or abusive purposes
- Submit information you know is materially false or misleading
- Attempt to gain unauthorized access to the Site, servers, accounts, or connected systems
- Introduce malware or harmful code
- Scrape, harvest, or extract Site data through automated means without written permission
- Interfere with the Site or place unreasonable load on its infrastructure
- Use the Site to send unsolicited commercial communications
- Copy, republish, resell, or commercially exploit Site content except as expressly permitted
We may restrict or terminate access to the Site if we reasonably believe these Terms have been violated or the Site is being misused.
- Intellectual Property
Site content, including text, graphics, photographs, logos, page layouts, and compilations, is owned by Danerra Supply Group LLC or used under license and is protected by applicable intellectual property laws.
The Danerra name, logo, and branding may not be used without prior written permission. You may view, download, or print Site pages for internal business evaluation of Danerra services, but you may not otherwise reproduce, modify, distribute, publish, or create derivative works from Site content without permission.
- Accuracy of Information
We use reasonable efforts to keep Site information current, but Site content is provided for general informational purposes and may contain errors, omissions, or outdated information.
Product categories, capabilities, images, timeframes, sourcing examples, and process descriptions are illustrative. Actual project scope, specifications, pricing, lead times, supplier availability, shipping arrangements, and other commercial terms are established only in applicable written project documents.
We may modify, suspend, or discontinue Site content or functionality at any time.
- Third-Party Links and Services
The Site may contain links to third-party websites or use third-party services for hosting, email delivery, security, communications, analytics, or other functionality. Danerra does not control third parties and is not responsible for their independent content, availability, practices, or policies. Your use of a third-party service may be subject to that provider’s terms and privacy notice.
- Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
To the fullest extent permitted by law, Danerra disclaims warranties relating solely to use of the Site, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will always be available, uninterrupted, secure, error-free, or free of harmful components.
This section does not limit warranties or obligations expressly provided in a separate signed commercial agreement between you and Danerra.
- Limitation of Liability
To the fullest extent permitted by applicable law, Danerra Supply Group LLC and its members, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business opportunity, or goodwill, arising solely from access to or use of the Site.
To the fullest extent permitted by applicable law, Danerra’s total aggregate liability arising solely from access to or use of the Site will not exceed USD 100. This Site-use limitation does not replace or limit any liability allocation contained in a separate signed commercial agreement between Danerra and a client.
Some jurisdictions do not permit certain exclusions or limitations of liability. In those jurisdictions, these limitations apply only to the maximum extent permitted by law.
- Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Danerra Supply Group LLC, its members, officers, employees, and agents from claims, losses, liabilities, and reasonable expenses arising from your unlawful use of the Site, your material breach of these Terms, materials you submit that infringe third-party rights, or your violation of applicable law or third-party rights.
- Privacy
Your use of the Site is also subject to our Privacy Policy, which explains how we collect, use, disclose, and protect information. The Privacy Policy is incorporated into these Terms by reference.
- Changes to These Terms
We may update these Terms from time to time. We will revise the “Last Updated” date when changes are made. If a change is material, we may provide additional notice where appropriate or required by law. Your continued use of the Site after updated Terms are posted means you accept the revised Terms to the extent permitted by applicable law.
- Governing Law and Disputes
These Terms and disputes arising from your use of the Site are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles.
Any lawsuit arising solely from these Terms or your use of the Site must be brought in a state or federal court of competent jurisdiction located in Texas, unless applicable law requires another forum. Each party consents to the jurisdiction of those courts to the extent permitted by law.
If you access the Site from outside the United States, you are responsible for complying with laws applicable to you in your location.
- General
Severability. If any provision of these Terms is held unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect.
No waiver. A failure to enforce any provision does not waive the right to enforce it later.
Entire agreement for Site use. These Terms and the Privacy Policy constitute the entire agreement regarding use of the Site. They do not replace any separate commercial agreement governing sourcing, supply, procurement, payment, shipping, delivery, warranties, or other project-specific obligations.
Assignment. You may not assign your rights under these Terms without our written consent. Danerra may assign these Terms in connection with a merger, reorganization, financing, or sale of all or part of its business.
Force majeure. Danerra is not liable for a failure or delay in Site performance caused by circumstances beyond its reasonable control.
